Terms of Service (Public Offer)

These Terms of Service (the Terms) are a public offer by PE Klimovych Anastasiia, an individual entrepreneur (ФОП) registered in Ukraine, taxpayer number (RNOKPP) 3478811607, 18 Myru St., Vodychky village, Khmelnytskyi district, Khmelnytska region, 31334, Ukraine (Adminka, we) to conclude an agreement for the use of the Adminka Connect service on the conditions below. The Terms are addressed to businesses only.

You accept the Terms — and the agreement between you and Adminka is concluded — when you tick the acceptance box during sign-up, start a trial, or pay for a subscription (Articles 633, 641 and 642 of the Civil Code of Ukraine; Article 11 of the Law of Ukraine "On Electronic Commerce"). If you do not agree, do not use the Service.

1. Definitions

  • Service — Adminka Connect: software that, using an API key you provide, reads data from your CRM (KeepinCRM, KeyCRM, Pipedrive or another supported system), stores it in a database dedicated to you, transforms it into reporting tables and makes those tables available to Google Data Studio through our connector.
  • Customer, you — the legal entity or individual entrepreneur that accepted the Terms. The person who accepts on the Customer's behalf confirms they are authorised to do so.
  • Customer Data — data the Service reads from your CRM and everything derived from it.
  • Account — your access to the Service, opened by signing in with a Google account.
  • Subscription — paid access to the Service for a billing period (one month unless stated otherwise).
  • Site — datastudio.adminka.pro.

2. Business use only

2.1. The Service is provided to businesses for their business purposes. By accepting the Terms you confirm that you act on behalf of a legal entity or as an individual entrepreneur, not as a consumer.

2.2. Consumer-protection rules that apply only to consumers therefore do not apply to this agreement, to the extent the law allows.

3. What we provide

3.1. We give you access to the Service for your internal business purposes for the duration of your trial or paid Subscription.

3.2. The Service reads your CRM read-only: it never creates, changes or deletes anything in your CRM.

3.3. Data is synchronised once a day (nightly). The first synchronisation may take from minutes to several hours depending on the volume of history.

3.3.1. The service is delivered online, with no physical delivery. How and when it is provided, where it is available and the payment methods are set out in the Terms and conditions, which form part of the Agreement.

3.4. Amounts are presented in their original currency and in your reporting currency, converted at the official exchange rate of the National Bank of Ukraine for the day of the transaction (or the nearest earlier published rate).

3.5. The set of available tables and fields depends on your CRM and is described on the Site. We may improve and change the Service; we will not materially reduce its core functionality during a paid period you have already paid for.

3.6. Google Data Studio, your CRM and your Google account are third-party services governed by their own terms. We are not responsible for their availability or changes that affect the Service; if such a change breaks the Service, we will make reasonable efforts to restore it.

4. Trial

4.1. A new Account gets a free trial of 14 days without a payment card. One trial per CRM account.

4.2. When the trial ends without a paid Subscription, access to the data stops. We delete Customer Data 30 days after the trial ends unless you subscribe before then.

5. Fees and payment

5.1. The subscription price is published on the Site in US dollars as a monetary equivalent; payment is made in Ukrainian hryvnias at the official National Bank of Ukraine rate on the payment day (Article 533 of the Civil Code of Ukraine). We are not registered for VAT (single-tax payer, group 3), so no VAT is added to the price.

5.2. Subscriptions are paid in advance for each billing period, by card through the WayForPay payment service with automatic monthly renewal, or by bank transfer against our invoice. We do not receive or store your card details.

5.3. By paying by card you authorise recurring monthly charges until you cancel. WayForPay notifies you before each charge.

5.4. If a payment fails, we may suspend access until it succeeds (the data is kept as described in section 9).

5.5. We may change prices with at least 30 days' notice by email and on the Site. The new price applies from your next billing period after the notice period; if you disagree, cancel before it starts.

5.6. Refunds are governed by the Refunds & cancellation policy, which is part of these Terms.

6. Your obligations

6.1. You provide an API key for your CRM and confirm that you are entitled to give us access to the data it opens, and that your use of the Service complies with your CRM's terms and the law applicable to you.

6.2. You are responsible for the lawfulness of the Customer Data, including any personal data in it, and for informing the people concerned where the law requires. Do not put in your CRM data you are not allowed to process, and avoid special categories of personal data (health, biometrics, etc.) in the fields we read.

6.3. You keep your Google account and the reports you share secure. Anyone you give access to a Data Studio report can see the data in it.

6.4. You must not: attempt to access other customers' data; reverse-engineer, overload or probe the security of the Service; resell the Service; use it for unlawful purposes.

7. Customer Data and personal data

7.1. Customer Data belongs to you. We use it only to provide the Service to you, and do not sell it or use it for anyone else.

7.2. For personal data in Customer Data you are the controller and we are the processor. The Data Processing Agreement forms part of these Terms and governs that processing.

7.3. We may use aggregated, non-identifying technical information about the operation of the Service (for example, sync durations and error rates) to operate and improve it.

7.4. How we process the personal data of Account users and Site visitors is described in the Privacy Policy.

8. Suspension

We may suspend access, with notice where reasonably possible, if: payment is overdue; you breach section 6; your use threatens the security or stability of the Service or other customers; or the law requires it. We restore access once the reason is removed.

9. Term, cancellation and termination

9.1. The agreement runs from acceptance until terminated.

9.2. You may cancel a Subscription at any time in your Account or by writing to us. Cancellation takes effect at the end of the current paid period; no further charges are made.

9.3. Either party may terminate the agreement if the other materially breaches it and does not cure the breach within 14 days of written notice. We may also terminate for convenience with 30 days' notice and a pro-rata refund of any prepaid, unused period.

9.4. After the agreement ends (or a trial ends unpaid) we stop synchronisation, revoke connector access and delete Customer Data within 30 days, except where the law requires us to keep it. Deleted data remains in backups only until the backups are rotated out (21 days).

10. Disclaimer

10.1. The Service provides analytical data. It is not an accounting, tax or financial reporting system; do not use it as the basis for tax documents. Exchange rates are taken "as published" by the National Bank of Ukraine.

10.2. We provide the Service with reasonable care and skill, but "as is" and "as available": we do not guarantee uninterrupted or error-free operation, or that the data will always be complete or current (for example, if your CRM's API is unavailable or changes).

11. Liability

11.1. To the extent permitted by law, neither party is liable for indirect or consequential losses, lost profit, or loss of business opportunity.

11.2. To the extent permitted by law, our total liability under the agreement is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim.

11.3. Nothing in these Terms limits liability that cannot be limited by law, including liability for intent.

12. Confidentiality

Each party keeps confidential the non-public information it receives from the other in connection with the agreement, uses it only for the agreement and discloses it only to employees and contractors bound by similar obligations, or where required by law.

13. Intellectual property

The Service, the connector, the Site and their content belong to Adminka. You receive a non-exclusive, non-transferable right to use them for the term of the agreement. Reports you build in Data Studio are yours.

14. Force majeure

Neither party is liable for failure to perform caused by circumstances beyond its reasonable control, including martial law, hostilities, power or communications outages, and acts of authorities. The affected party informs the other promptly and resumes performance as soon as possible.

15. Changes to the Terms

We may change the Terms by publishing a new version on the Site. We will notify you of material changes by email at least 14 days before they take effect. If you continue to use the Service after that date, you accept the new version; if you do not agree, you may cancel before it takes effect.

16. Governing law and disputes

The agreement is governed by the law of Ukraine. The parties will try to resolve disputes by negotiation; failing that, disputes go to the competent court of Ukraine. Mandatory rules of the law of the Customer's country that cannot be excluded by contract remain applicable.

17. Notices and language

Notices are sent by email: to the address of your Account, and to us at info@adminka.pro. The Terms are published in Ukrainian and English; in case of discrepancy, the Ukrainian version prevails.
